Welcome, and thank you for using Synapsure. Synapsure provides AI-generated medical education and insights sourced from reputable medical materials (Service) and is provided to you (you or your) by Synapsure AI Pty Ltd (ACN 683 180 083) and our affiliates (Synapsure, us, we or our).

These terms and conditions of use of the Service, and any policies we make publicly available concerning responsible use of the Service, (Terms) cover your use of the Service, and all associated services including websites and mobile applications. In using or accessing the Service you agree to our Terms. If you do not agree with these Terms, please do not use the Service.

Nature of the Service

The Service is an AI-driven informational tool designed to assist users by providing insights based on reputable medical sources. It does not offer medical advice, diagnosis, treatment, or professional healthcare services. The Service does not replace a consultation with a qualified healthcare provider, and users should always seek professional medical advice regarding any health concerns.

No Doctor-Patient relationship

Your use of the Service does not establish a doctor-patient relationship between you and Synapsure or any of our affiliates. The information provided is strictly for educational and informational purposes.

Revisions to our terms

Our Terms of Use may be updated from time to time to ensure they are appropriate and fair. Such changes are effective immediately on posting, and apply to all access and use of the Service from that point onwards. We post notifications of changes to our Terms and You are responsible for checking these Terms for any revisions. Your ongoing usage of the Service means you continue to accept our Terms.

Content and responsibility

Despite our best efforts, Synapsure cannot guarantee that provided information is correct, complete, error free or most relevant. Information provided by the Service is accepted by the user at your own risk, and users are responsible for evaluating all information. By using the Service, you agree that Synapsure, its employees, representatives, agents, and contractors are not liable for any damages or losses. The Service we provide is solely educational and informational. Synapsure does not replace clinical reasoning and judgement, nor do we replace professional medical advice. Should you seek medical advice or recommendations, please see a qualified healthcare provider. If you are having a medical emergency, please contact emergency services and/or go to your nearest emergency department.

User responsibilities

You agree to:

  • Only to use the Service if you are at least 14 years old or the minimum applicable age in your jurisdiction.
  • Use the Service for informational purposes only.
  • Not rely solely on the Service for medical decisions.
  • Consult a qualified healthcare professional for medical concerns.
  • Provide truthful and accurate information when using the Service.

Restrictions on use of output

Users are prohibited from:

  • Using the Service’s outputs (including any Output) as a substitute for professional medical advice.
  • Distributing, modifying, or commercially exploiting the Service’s content without permission.
  • Using the Service for any unlawful, fraudulent, or misleading purposes.
  • Representing the Service’s outputs as official medical opinions or legally binding assessments.

What you cannot do Synapsure is designed to do good. You may not use the Service to cause harm or for illegal activities. For example, you may not:

  • Interfere or attempt to interfere with the provision of the Service.
  • Use the Service to knowingly or unknowingly to impersonate a healthcare provider.
  • Portray provided information as human.
  • Replicate, lease, sell, or disseminate the Service, including information provided by Synapsure.
  • Store, distribute or make available for distribution of harmful or illicit content.
  • Rely on Synapsure as medical advice or recommendations.
  • Automate or attempt to automate the utilisation of our Services.

Third parties

Third party services, including but not limited to third party links and products, may be present across the Service. Third party services are subject to their own terms, beyond the scope of Synapsure. We do not endorse third party services, and we are not responsible for the accuracy, security or content of such third party sites, services or resources.

Billing

For paid users, you will provide valid and accurate billing information. Users will be automatically charged as per the agreed payment period. Payment will automatically renew at the end of your subscription period unless you cancel your subscription. It is your responsibility to keep track of your subscription and any renewal periods selected. For some payment methods, additional fees, such as foreign transaction fees, may be incurred. If a payment is not successfully completed, we may suspend your account. By purchasing a subscription or making a payment, you agree to the applicable pricing, billing, and payment terms as disclosed at the time of purchase. Subscription fees are non-refundable except where required by Australian Consumer Law. Synapsure reserves the right to change pricing and features at its discretion, with notice to users where applicable.

Cancellation

You can cancel your paid subscription at any time. Due to costs associated with the Service, except where otherwise set out in these Terms, payments are non-refundable, irrespective of usage.

Pricing

We may increase our prices on occasion. Any increase to pricing will have at minimum 30 days’ notice to affected paying users, and will be implemented on your following subscription term. By purchasing a subscription or making a payment, you agree to the applicable pricing, billing, and payment terms as disclosed at the time of purchase.

Accessibility

Using Synapsure and the Service requires internet access and a compatible electronic device, including software, of which you are responsible. We cannot guarantee that our Services will be free from interruptions or errors.

Issuance

You may not transfer your account in any capacity, including subleasing or distributing. You agree not to use the Service for public performances or commercial use.

Privacy and data security

By using the Service, you consent to the collection, use, and processing of your data in accordance with our Privacy Policy www.synapsure.com. While we take reasonable steps to protect user data, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for the protection and confidentiality of your username, password, and any other security information of your account. Synapsure is not responsible for any activities on your account and will not be held responsible should someone compromise your account. We cannot guarantee that our services will be secure, free from bugs, or free of viruses or other malicious code. Our collection of personal information is intended to be limited to your account information. Please do not enter identifiable, personal or sensitive personal information into the Service as part of any Input.

Intellectual property rights

The Service, all software, AI algorithms, and background materials, are the intellectual property of Synapsure or its licensors and nothing transfers or assigns to you any rights in the Service or any of the foregoing. We do not control the content posted to or via our Service that you input into our Service (Input). The Service will generate, and you will receive, output from the Service based on the Input (Output). As between you and us, you will own all Input and Output and, to the extent permitted by law (and subject to these Terms) we assign our rights in the Input and Output to you. You grant us a royalty and fee free, worldwide, non-exclusive licence to use the Input and Output to the extent necessary to provide and improve the Service. You acknowledge that due to the nature of the Service and artificial intelligence generally, Output may not be unique and other users may receive similar content from the Service. Responses and output that are requested by and generated for other users are not considered your Output. Our assignment of Output to you does not extend to other user’s output or any content delivered as part of any third party offering.

Indemnity

We agree to defend and indemnify you for any damages finally awarded by a court of competent jurisdiction and any settlement amounts payable to a third party arising out of a third party claim alleging that the Service infringes any third party intellectual property right. This excludes claims to the extent arising from: (a) combination of the Services with products, services, or software not provided by us or on our behalf, (b) fine-tuning, customisation, or modification of the Service by any party other than us, (c) the Input or any data you provide to us, or (d) your failure to comply with these Terms or laws, regulations, or industry standards applicable to you. If we reasonably believe that all or any portion of the Service is likely to become the subject of any infringement claim, we: (a) will procure, at our expense, the right for you to continue using the Service in accordance with these Terms, (b) will replace or modify the allegedly infringing Service (or relevant part of it) so it is non-infringing, or (c), if (a) and (b) are not commercially practicable, we may, in our sole discretion, terminate these Terms upon written notice to you and refund any prepaid amounts for unused portion of the Service. You will promptly comply with all reasonable instructions we provide you with respect to (a) through (c) above, including any instruction to replace, modify, or cease use of an impacted Service.

You agree to indemnify, defend, and hold us and our related bodies corporate and licensors harmless against any liabilities, damages, and costs (including reasonable legal fees) payable to a third party arising out of a third party claim related to (a) use of the Service in violation of these Terms (including violation of any of policies relating to the use of the Service from time to time), or (b) Input.

A party seeking indemnity will provide the indemnifying party with prompt written notice upon becoming aware of any claim, reasonable cooperation in the defence of or investigation of the claim, and allow the indemnifying party sole control of defence and settlement of the claim, provided that the party seeking indemnity is entitled to participate in its own defence at its sole expense. The indemnifying party cannot enter into any settlement or compromise of any claim without prior written consent of the other party, which will not be unreasonably withheld, except that the indemnifying party may without consent enter into any settlement of a claim that resolves the claim without liability to the other party, or requiring the other party to make any admission of liability. The remedies set out above are the sole and exclusive remedies for any third party claim that the Service or Input infringes intellectual property rights.

Feedback

We value our users and the community they form. Feedback may be used without reward or restriction, however, we may provide rewards at our discretion.

Suspension and deactivation

We reserve the right to suspend or deactivate your account without notice or refund if you have breached our Terms, if we must comply with the law, or if a user is not acting in good faith of Synapsure, our community and the Services we provide.

Limitation of liability

Synapsure and its affiliates, directors, officers, employees, agents, and licensors are not responsible for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

  • The use of, or inability to use, the Service.
  • Any reliance on information provided by the Service.
  • Any errors, omissions, or inaccuracies in the Service's output.

To the extent not prohibited by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to accuracy, completeness, reliability, fitness for a particular purpose, or non-infringement. In the event that we are found by a court of competent jurisdiction to be liable to you, you agree that our liability is limited, in the aggregate for all claims, loss and damages of any kind, to the amounts you have paid us in the 12 month’s immediately preceding the date that the event(s) giving rise to the liability arose.

Force majeure

Except for payment obligations, neither you nor us will have any liability for failures or delays resulting from conditions beyond your or our reasonable control, including but not limited to governmental action or acts of terrorism, earthquake or other acts of God, labour conditions, or power or utilities failures.

Assignment

These Terms can only assigned as permitted in this section. We may assign these Terms to a related body corporate without notice or your consent. Both you and us may assign these Terms to a successor to substantially all the respective party’s assets or business, provided that the assigning party provides reasonable (at least 30 days) prior written notice of the assignment. These Terms will be binding upon the parties and their respective successors and permitted assigns.

Governing law & enforcement

These Terms are governed by law of the State of New South Wales, to the exclusion of any conflict of laws and the United Nations Convention. All disputes arising from these Terms shall be subject to the jurisdiction of the courts of New South Wales. Failure to enforce a provision does not mean we relinquish our right to do so later. If any part of our Terms is determined to be invalid or unenforceable under law, it shall be deemed omitted and the remaining provisions shall continue in full effect.
